Overview

Karen specializes in providing cutting-edge solutions for complex legal issues that arise from business globalization. With a wealth of experience advising clients on strategic planning for expanding businesses into the international market, Karen is well-versed in navigating the ever-changing legal and regulatory landscape.

Prior to joining Dorsey, Karen served as the North American Senior Legal Director at Fosun International (00656.HK), where she advised the board and executives on M&A transactions in the North American region. With private practice experience in Shanghai, Washington D.C., and New York, Karen has extensive experience in handling a full spectrum of corporate transactions, including:

  • cross-border M&A,
  • PE & VC investments,
  • international joint ventures, and
  • business sales and divestiture.
As an outside general counsel to international clients, Karen is skilled in teaming up with litigators and other specialists to prevent, detect, and resolve legal threats, such as corporate or commercial dispute resolution, post-closing risk control and compliance programs, internal investigations, executive transition, and government enforcement, under multicultural contexts. Karen's expertise and experience make her an invaluable asset to many organizations looking to expand into the international market.

Cross-border M&A and PE/VC transactions, including:

  • Represented The Coca-Cola Company (NYSE: KO) in the sale of its bottling businesses for still beverages in Mainland China to Swire Group and China Oil and Foodstuffs Corporation
  • Represented R&F Properties (SEHK: 2777) in the sale of certain properties located at Guangzhou International Airport R&F Integrated Logistic Park valued at approximately US$1.0 billion to The Blackstone Group Inc.
  • Represented YA Healthway, a portfolio company of Qiangjiang YongAn Pharmaceutical (SHE: 002365), in the sale of a matrix of tangible and intangible assets to Jamieson Wellness (TSX: JWEL)
  • Represented Ballard Power Systems (TSX: BLDP) in the greenfield investment project at the Jiading Hydrogen Port, one of China’s leading automotive industry clusters, to establish a membrane electrode assembly (MEA) manufacturing facility and R&D center in Shanghai, China with a total investment amount of US$130 million
  • Represented Cainiao, as the U.S. counsel, in the acquisition of De Well, a provider of cross-border logistics solutions
  • Represented Eddingpharm in the acquisition of Eli Lily’s Rights in China for Ceclor® and Vancocin® as well as its Ceclor Manufacturing Facility in Suzhou
  • Represented Janchor Partners in the equity investment in Everest Medicine’s series C-2 led by Janchor Partners and completed by raising funds of US$ 310 million
  • Represented Fosun Health and Flagler Investment in the acquisition of a portfolio of essential healthcare properties located in four different cities in the U.S.
  • Represented multiple international investors in series B, B+ and C rounds of fundraising of a California-based biomedical company
  • Advised a leading Chinese investment conglomerate in its equity investment in a U.S.-based greenfield project running a cryptocurrency custodial platform
  • Advised a HKSE-listed public company in its intended acquisition of a billion-dollar hospitality resort in the Caribbean area*
  • Advised a Chinese private equity fund in its intended pre-IPO round equity investment in a market-dominating Fintech company in India*
  • Advised a Chinese private company in its acquisition of an Europe-based football club*
  • Advised a Chinese private company in its strategic investment in an art dealer business in Israel*

Effectively preventing, detecting and resolving legal or regulatory risks arising from the process of business globalization, including:

  • Provided advice to Chinese producers on various international trade issues, including the UFLPA sanctions, AD/CVD duties, and U.S. customs regulations
  • Advised a private equity fund on CFIUS issues in each cross-border transaction
  • Advised a Chinese lithium battery material producer in navigating the process of national security review in North America
  • Advised a Chinese energy company on responding to post-closing RFIs from CFIUS
  • Provided guidance to a biotech startup in the U.S. on CFIUS and export control issues related to its series-A round of fundraising from Asian investors
  • Advised a Chinese academic professional on actions against academic journal publishers in the UK and Europe to protect the client’s privacy rights under the GDPR
  • Assisted a cross-border service provider in establishing a global data and privacy protection protocol covering jurisdictions of the U.S., UK, Germany, Australia and China and managed local data counsels from various jurisdictions
  • Provided guidance to multiple cross-border service providers in navigating law enforcement actions undertaken by U.S. federal agencies, including the Department of Homeland Securities, Customs and Border Protection, Department of Justice, Department of Agriculture and etc.
  • Advised a Chinese bond-holder on strategies for negotiation with a U.S.-listed company, the bond-issuer, regarding debt restructuring
  • Provided guidance to a creditor on litigation and arbitration strategies in the U.S. and in Hong Kong regarding a cross-border financing arrangement
  • Conducted an internal investigation of an education organization to prevent sexual harassment allegations in China
  • Assisted a Chinese buyer in restructuring the executive team of an acquired target company post-closing
