Dorsey & Whitney LLP won a China Business Law Journal Deal of the Year Award for 2022 in the “Cross-Border Deals” category by acting as the lead counsel to Coca-Cola for a complex restructuring of Coca-Cola’s preparation and packaging operations in China for non-aerated beverage.

The annual Deals of the Year rankings by China Business Law Journal highlight the year’s most significant China-related deals and cases.

Dorsey led the structuring of the deal in a way to minimize fund flow, with the considerations to be offset against subsequent winding-up distributions. This is considered one of the innovative features of the transaction.

Karen Yiqin Fan, M&A Partner and the head of the Shanghai Office, led a multi-office team of lawyers spanning the Firm’s cross-office M&A group, restructuring group, tax group as well as intellectual property group. The Dorsey transaction team includes partners Ting Zhou, Mark Taylor, Steven Nelson, Hilda Chan, Simon Chan, Katherine Cheung and Lilian Shi, as well as associates Gan Wang, Yulie Li, Tao Cheng, Molly Wang, Janice Wong, Frost Wu, Eileen Xu, Harsha Goel and Matthew Dickerson, and translators Wendy Lee and Iris Dong.

Deals of the Year awards are based on nominations and comments received by the China Business Law Journal from China-focused corporate counsel, senior managers, and legal professionals around the world, along with an evaluation of the winning firms’ landmark deals, cases, and other notable achievements.

Dorsey & Whitney has long been committed to its clients in China and has advised them on a great variety of cross-border transactions and commercial dispute resolution matters, including well-known private companies, large state-owned enterprises, and financial institutions.
