Overview

Our Tax group provides federal, state and international tax advice to a wide variety of clients, from start-ups to multinational corporations at all stages of their life cycle.   • Carlisle Companies’ $265 million acquisition of the Thermax-Raydex business from Belden
  • Medtronic’s $200 million acquisition of Cardiocom LLC
  • The $3.8 billion sale of Kodiak Oil & Gas to Whiting Petroleum Corp.
  • Tekmira Pharmaceuticals acquisition of Oncore Biopharma
  • Wilson Sporting Goods Co.’s acquisition of the global brand, sales and innovation rights to Louisville Slugger™ from Hillerrich & Bradsby
  • The combination of Hamline University and William Mitchell College of Law into the MitchellǀHamline School of Law
  • Advising a number of US corporations on the structuring of a tax efficient reorganization prior to their listing on AIM, including advice on restructuring their employee share incentive arrangements
  • Advising Fujitsu Limited on its acquisition of Siemens AG's 50% shareholding in their joint venture, Fujitsu Siemens Computers, in a deal worth approximately €450 million
  • Advising AKQA on UK tax and employee incentive issues on its £350 million acquisition by WPP Plc
  • Advising clients on the formation of investment partnerships and limited liability companies, including entities holding diversified publicly traded stock portfolios with complex hedge-fund type accounting provisions, private equity, aircraft, and debt instruments
