With more than 30 years of experience, Marcello counsels clients on high-stakes strategic matters involving mergers and acquisitions, private equity investments, joint ventures, privatizations, and project and structured financings. He is known for guiding clients through transactions in highly regulated and politically sensitive environments, with particular strength in the energy, natural resources, infrastructure, telecommunications, media, technology, and healthcare sectors. He regularly advises on sale auctions, distressed M&A, and transactions involving government counterparties, as well as related anticorruption and compliance considerations.

- Led ENGIE’s $8.6 billion acquisition and related financing of 90% of Transportadora Associada de Gás SA ("TAG"), the largest natural gas transmission network owner in Brazil, from Brazilian state oil company Petróleo Brasileiro SA (Petrobras) in a competitive auction, in a joint venture with Caisse de depots et placement du Quebec (“CDPQ”), the largest cash acquisition in Brazil and largest privatization transaction in Brazil. *
- Advised Comtrafo Industria de Transformadores Eletricos S.A. in its sale to American Superconductor Corporation (‘AMSC”). *
- Advised Total Marketing Services regarding the acquisition of a majority 70 percent interest in V Energy, the Dominican Republic's leading fuel retailer. *
- Advised TotalEnergies in its strategic alliance and investment agreement with Omaha Beach Investment Corp., Sunix Petroleum, S.R.L. and Tropigas Dominicana, S.R.L. in the Dominican Republic. *
- Represented Marfrig Global Foods SA, one of the world's leading beef producers and the world's largest beef patty producer, in connection with the creation of PlantPlus Foods, a joint venture with U.S.-based Archer-Daniels-Midland Company, a leading global nutrition company, for the sale of plant-based food products across the South American and North American markets. *
- Advised Santander Investment Securities Inc.; Bradesco Securities, Inc.; J.P. Morgan Securities LLC; Banco do Brasil Securities LLC; and Jefferies LLC, as international placement agents, in connection with a BRL 3.0 billion (US$720 million) international offering of 299,738,518 Common Shares of Marfrig Global Foods S.A. (“Marfrig”), represented by a primary offering of 90,090,091 Common Shares by Marfrig and a secondary offering of 209,648,427 Common Shares by BNDES Participações S.A. – BNDESPAR, as the selling shareholder. *
- Advised a syndicate of international banks in an international offering of $1.0 billion of 6.875% Senior Notes due 2025 by Marfrig Global Foods S.A., one of Brazil's largest food processing companies, and concurrent tender offers by Marfrig for two series of its outstanding debt securities. *
- Advised Exceda in its sale to Akamai Technologies, including assets in Brazil, Argentina, Chile, Mexico, and the U.S. *
- Advised the selling shareholders of Diagnóstico Maipú por Imágenes S.A. of Argentina ("Diagnóstico Maipú") under New York law in connection with the sale of Diagnóstico Maipú to Diagnósticos Da América S.A. of Brazil ("DASA"). *
- Assisted a major oil and gas company with the sale of its assets and interests in an offshore hydrocarbons concession in the Democratic Republic of Congo. *
- Advised Vale Soluções em Energia S.A. (VSE) in the sale of UK subsidiary company TAO Sustainable Power Solutions (UK) Limited, the owner of a majority of the shares of Turbo Power Systems Inc (TPS). *
- Represented Cemig Geração e Transmissão S.A. (“CEMIG GT”) in connection with its offer to purchase for cash up to US$500 million aggregate principal amount of its outstanding 9.250% Senior Notes due 2024. *
- Advised JBS S.A. in its acquisition of Vivera, Europe’s third-largest manufacturer of plant-based food, for an enterprise value of €341 million, in competitive auction. *
- Represented France Telecom (Orange) in various M&A, financing, and privatization transactions throughout Latin America, including:
- France Telecom’s investment in Intelig Telecomunicaçoes Ltda., the Brazilian long-distance telecommunications "mirror" company, in a US$1 billion joint venture with Sprint and National Grid, including restructuring and subsequent sale to Docas; *
- Intelig’s approximately $500 million vendor financing with Alcatel and Nortel; *
- France Telecom’s acquisition of a majority interest in the privatization of Compańia de Telecomunicaciones de El Salvador, the national El Salvador telecom company, and France Telecom’s subsequent sale of its interest to America Movil in an auction; *
- France Telecom’s acquisition of a majority participation in Transmiciones y Participaciones, a Dominican Republic start-up telecom company, and Orange’s subsequent sale of Orange Domincana to Altice for $1.435 billion to Altice in an auction; *
- France Telecom’s investment in Telecom Argentina, a company listed in the NYSE, jointly controlled with Telecom Italia, including the subsequent sale of its interest to local investors. *
- Represented France Telecom in other joint venture transactions and privatizations in Central America, including Nicaragua, Guatemala, and Honduras. *
- Represented France Telecom in connection with the sale of its interest in Intelsat. *
- Represented Algar Telecom in connection with the construction and joint venture with Google, Antel and Angola Cables of the Monet submarine cable system connecting Santos and Fortaleza, Brazil, with Boca Raton, Florida. *
- Represented Petrobras in connection with M&A transactions in the United States, Ecuador, Chile, and Japan. *
- Represented Brazilian pension funds Previ, Petros, and Funcef in the acquisition of Telecom Italia's interest in Brasil Telecom. *
- Represented Faurecia in connection with Brazilian and US transactions. *
- Represented JBS in connection with its acquisition of assets of the Independencia group. *
- Represented Vitro in connection with cross-border M&A transactions in Mexico and Central America. *
