Overview
TROY HAS MORE THAN TWENTY-FIVE YEARS OF EXPERIENCE IN MERGERS & ACQUISITIONS, INTERNATIONAL JOINT VENTURES, CORPORATE GOVERNANCE AND IN GOVERNMENT RELATIONS. WITH HIS BROAD SKILLSET, HE HELPS CLIENTS FIND SOLUTIONS UNDER A VARIETY OF CIRCUMSTANCES.
Troy is a partner in the Salt Lake City Office of Dorsey & Whitney LLP. Before joining Dorsey, Troy was Vice President of Corporate Law and Global Government Relations at Huntsman Corporation. Previous to Huntsman, he was Securities & M&A counsel at Qwest Communications, and he began his career as an attorney at the New York office of Sidley Austin.
Troy currently serves as World Trade Center Utah’s International Trade and Commercial Policy Advisor and is a member of the Salt Lake Chamber Board of Governors. He also serves on the Board of Directors of the Utah Aerospace and Defense Association. He is a founding member of FinTech Utah and has been instrumental in helping to develop the FinTech community in Utah. Troy is a frequent commentator in business and media publications. He is admitted to practice law in New York, Colorado and Utah.

- Represented a publicly traded medical device manufacturer in an international joint venture
- Represented an India-based supplements manufacturer in its acquisition of a U.S. DTC business
- Represented Advanced Conceptions, Inc. in its merger with Co-Diagnostics, Inc.
- Represented Mastercard in its acquisition of Finicity
- Represented Huntsman Corporation in the formation of its $750 million PO/MTBE joint venture with Sinopec’s Jinling Petrochemical Company
- Represented Huntsman Corporation in its proposed $20 billion merger agreement with Clariant A.G.
- Represented Huntsman Corporation in its acquisition of Demilec for approximately $350 million
- Represented Huntsman Corporation in its acquisition of the Additives Division of Rockwood International for approximately $1.05 billion
- Represented Huntsman Corporation in its acquisition of Oxid L.P.’s Polyester Polyols Business for approximately $75 million
- Represented Huntsman Corporation in the formation of its $280 million Arabian Amines joint venture with the Al Zamil Group
- Represented Huntsman Corporation in the expansion of its isocyanates joint venture with BASF and multiple Chinese partners
- Represented Huntsman Corporation in its historic merger agreement with Hexion Specialty Chemicals
- Represented Huntsman Corporation in the sale of its US Base Chemicals Division for approximately $770 million
- Represented Huntsman Corporation in the sale of its Stereolithography and Rapid Manufacturing Resins business to 3D Systems Corporation for approximately $41 million
- Represented Huntsman Corporation in its acquisition of the Textile Effects Division of Ciba Specialty Chemicals for approximately $253 million
- Represented Huntsman Corporation in multiple debt offerings ranging from $100 million to $1.6 billion in size
- Represented Huntsman Corporation in multiple systems house acquisitions and joint venture buyouts in all regions of the world
- Represented Qwest Communications International Inc. in multiple debt and equity offerings ranging from $20 million to $1.7 billion in size
- Company counsel for the $80.5 million Caldera Systems, Inc. Initial Public Offering
- Selling Stockholder counsel for the $50 million Altiris, Inc. Initial Public Offering
