Under the Hart-Scott-Rodino (HSR) Act, mergers and acquisitions that meet certain “size” criteria must be reported to the US Department of Justice and Federal Trade Commission before the parties can close their deal. Whether reportable or not, an M&A transaction can create antitrust risk and can result in an antitrust investigation. Our panel provided an overview of the merger review process and related issues (such as information exchanges), explored recent developments, and identified common pitfalls (and how to avoid them). Whether you are a newcomer to the merger review process or a veteran looking for some finer points, this program provided that information.
