Overview
Rachel helps public and private company clients achieve their business objectives through a variety of corporate transactions, including mergers and acquisitions, corporate reorganization, join ventures, and technology transactions.
Rachel's mergers and acquisitions experience includes representing both buyers and sellers in a variety of transactions, including asset purchases, stock purchases, mergers, divestitures, carve-outs and joint ventures. Rachel also advises clients on a range of corporate governance, commercial contracting and general corporate matters. She has managed complex transactions in various industries, including health, food, beverage & agriculture, and technology. Rachel also serves as firm Recruiting Co-Chair.

- Optum in numerous acquisitions of physician practices, benefits management companies, and health technology companies
- United HealthCare in the acquisition of a hearing services plan, a third party administrator, and a medical transportation benefits provider
- Optum360 in a revenue cycle management services transaction with a hospital system
- Best Buy in the acquisition of a senior remote monitoring company and a consumer goods company
- A health benefits technology company in the negotiation of license and services agreements with health insurers and the sale of equity to a private company
- Chelan Fruit Cooperative in its sale to an agricultural investment manager
- Land O’Lakes in numerous joint ventures for its feed and agronomy businesses
- Niagara Bottling in an asset sale and long-term supply agreement
- Foundant Technologies in the sale of equity to L Squared Capital Partners
- Glacial Lakes Energy, LLC in the purchase of assets of a renewable energy company Xcel Energy, Inc. in the acquisition of Border Winds and Pleasant Valley wind farm projects
- Privately held medical technology companies in preferred stock and convertible note financings
- A major medical device company in the divestiture of an international business unit
