The last two years have seen important changes at the Committee on Foreign Investment in the United States (“CFIUS”), the interagency body authorized by the President to review and investigate foreign investment in U.S. businesses to determine their effect on national security.   • The Foreign Investment Risk Review Modernization Act, enacted by Congress in August 2018, which broadened CFIUS’s authority to review non-controlling investments and real estate transactions not previously in its jurisdiction.

  • The recent amendment to CFIUS’s regulations to incorporate the Pilot Program and require pre-filings for investments in U.S. businesses supporting critical infrastructure and maintaining sensitive personal data.
  • New regulations expanding CFIUS’s jurisdiction over real estate investments.
