Overview
Andrew is a partner in Dorsey’s Corporate Group, advising clients on mergers and acquisitions, strategic transactions, corporate governance, and complex regulatory matters. He brings more than 20 years of experience, including over a decade in senior in-house leadership roles in the highly regulated gaming and franchising industries, where he served as a key legal and strategic advisor to public company boards and executive teams.
Andrew most recently served as Chief Legal Officer of a NYSE-listed franchising company, and previously held senior legal executive roles at major public and high-growth companies, including serving as Chief Legal Officer of a leading sports betting and online gaming technology company and Chief Corporate Counsel of a leading publicly traded gaming and hospitality company. Across these roles, he led or advised on multibillion-dollar transactions, complex joint ventures, public company governance, IPOs and spin-offs, and enterprise-critical regulatory matters. His experience operating at scale in regulated industries gives him a practical, business-focused perspective on risk allocation, deal execution, and stakeholder alignment. He has also defended companies in government investigations and major litigation matters, including class and mass actions, and coordinated board special committee matters.

Mergers & Acquisitions / Strategic Transactions
- Executed strategic M&A transactions at a publicly traded franchising platform and a publicly traded gaming and hospitality company.
- Advised on numerous joint ventures and complex strategic transactions across gaming, hospitality, and technology sectors.
- Negotiated joint venture to create a leading U.S. digital gaming and sports betting platform.
- Negotiated joint venture with sovereign wealth fund for development of branded hotels.
- Oversaw joint venture with a Chinese state-owned enterprise to develop and operate luxury hotels in mainland China.
- Developed and negotiated strategic partnerships with major commercial counterparties in the sports betting industry.
- Structured and negotiated market access agreements enabling expansion of online betting platforms across multiple U.S. jurisdictions.
Capital Markets, IPOs & Financings
- Led legal aspects of a carve-out IPO of a gaming and hospitality company’s real estate into a separate publicly traded REIT.
- Managed debt and equity financings for multiple public companies and subsidiaries.
- Executed approximately $9 billion of sale-leaseback transactions involving gaming real estate.
- Advised on securitized debt financing transactions and corporate restructuring to enable financing strategies.
- Maintained IPO readiness at multiple companies.
Real Estate, Development & Infrastructure
- Led legal aspects of large-scale development projects including domestic and international integrated resorts.
- Played a key role in development of the first professional sports arena in Las Vegas.
- Advised on complex real estate structures, including triple-net master leases with approximately $1 billion in annual rent.
Corporate Governance & Public Company Advisory
- Advised boards of directors and senior executives on governance, fiduciary duties, and strategic matters across multiple public companies.
- Oversaw governance, SEC reporting, and compliance for NYSE-listed companies and extensive subsidiary structures.
- Successfully defended a public company proxy contest.
- Led executive compensation program design and administration, including equity incentive plans.
- Regularly engaged with institutional shareholders on governance and performance matters.
Regulatory, Compliance & Government Affairs
- Built and led enterprise-wide compliance programs in highly regulated industries, including gaming, hospitality, and consumer platforms.
- Advised on complex, multi-jurisdictional regulatory frameworks governing online betting and gaming.
- Led licensing, AML, and regulatory strategy across numerous U.S. jurisdictions.
- Worked closely with lawmakers and regulators on emerging legislation, including efforts to legalize and regulate online sports betting.
- Advised on data privacy, consumer protection, and cross-border regulatory issues.
Litigation, Risk Management & Crisis Response
- Managed significant litigation and regulatory matters, including SEC, DOJ, FTC, and multi-state investigations.
- Advised on enterprise-risk and crisis management matters.
