Overview

ABBY IS A PARTNER IN THE FINANCE AND RESTRUCTURING GROUP.
Abby represents multinational companies, financial institutions, agent banks, and institutional investors in general corporate financing, cross border financing, acquisition financing and receivable financing transactions. Her experience also includes structuring and negotiating OTC derivatives. As a native Mandarin speaker, Abby has 10+ years of experience working with leading international companies on various legal compliance issues. Her work experience includes 5+ years as an International Trade Analyst and Associate at a major Wall Street-based law firm, in the firm’s New York and Beijing offices. She also has experience in the Hong Kong office of a U.K. Magic Circle law firm and the Hong Kong office of a Paris-based investment bank. While in law school, she also served as a law clerk at a well-known U.S. retail company based in Minneapolis.

Representative Experience

Leverage Finance:

  • Represented agent bank in connection with $135 million syndicated senior secured credit facility to finance the acquisition of franchise business; 
  • Represented agent bank in connection with $115 million syndicated senior secured credit facility to finance the acquisition of an asset management data solution provider;   
  • Represented agent bank in connection with $115 million syndicated senior secured credit facility to finance the acquisition of an electrical engineering and construction company;   
  • Represented agent bank in connection with $40 million syndicated senior secured credit facility to finance the acquisition of a pavement making and traffic control equipment and service provider;   
  • Represented agent bank in connection with a $85 million syndicated senior secured credit facility to finance the acquisition of a puzzle designer and manufacturer; 
  • Represented agent bank in connection with a $140 million syndicated senior secured credit facility to a Minnesota based consumer financing company with a parallel senior note credit facility; 

Mezzanine Financing:

  • Represented several national mezzanine funds in various unsecured subordinated debt and equity co-investment transactions to finance or refinance the acquisition of middle market portfolio companies in various industries throughout the United States;

Borrower Representation:

  • Represented a leading utility company in its $120 million senior unsecured note issuance;
  • Represented a multinational food company as borrower with respect to its syndicated senior secured $85 million revolving credit agreement;
  • Represented a clean energy developer as borrower with respect to its secured $120 million letter of credit facility in support of its energy project;
  • Represented several national funds and relevant portfolio companies to finance various add-on acquisitions in various industries throughout the United States;

Derivatives:

  • Represented a national fund in negotiating a total return swap on commodity futures with an Australia based swap dealer;
  • Represented several multinational companies in their ISDA negotiations for interest rate, foreign exchange rate or commodity hedges;

Chinese Market:

  • Represented various leading Chinese market players in receivable finance;
  • Represented an offshore subsidiary of a Chinese real estate company in its $60 million inventory finance;
  • Represented a private fund in a term loan facility to offshore affiliates of a Chinese real estate company to refinance existing offshore debts with security provided by the onshore entity;
  • Represented a Chinese asset management company in a bridge loan facility to support borrower’s acquisition of certain interest in an oil field in Abu Dhabi;
  • Represented various Chinese banks acting through their New York branches in term loan facilities to support privatization transactions, cross-border acquisitions and construction projects.
