Miriam delivers timely and cost-effective solutions to her clients in finance, corporate, and commercial real estate matters.

Miriam's clients include commercial banks, venture capital investors, real estate developers, private equity funds, tax credit financiers, and other senior and junior lending institutions, as well as emerging growth companies and other corporate borrowers.

Miriam handles a variety of commercial transactions on behalf of her clients, including formation, equity and debt financings, term and revolving credit facilities, construction financing, mezzanine financings, real estate joint ventures, mergers and acquisitions, dispositions, and general contract matters.

Experience

Representative Experience

  • Representation of a national student housing developer in connection with the acquisition, development, and finance of a portfolio of 12 student housing projects valued in excess of $500 million. Representation includes counsel on joint venture matters, acquisition financing, construction financing, bridge financing, permanent financing, preferred equity investments, asset management, and property/leasing management for each project.  
  • Representation of regional developer in connection with multiple multi-family ground up construction projects in Boston and the greater Boston area. Representation includes counsel regarding GP-investment structure, joint venture structuring, and negotiation and closing of construction financing and takeout financing.   
  • Representation of regional developer in connection with multiple multi-family ground up construction projects and asset repositioning transactions in Pittsburgh, PA. Representation includes counsel regarding GP-investment structure, joint venture structuring, and negotiation and closing of construction financing.
  • $205M joint venture for co-development of New York City mixed-used project
    • Successfully represented New York City Developer in a joint-venture agreement for the co-development of a 76-story mixed-use project in midtown Manhattan. Valued at $205 million, this was the second largest New York City real estate transaction recorded for the second week of July 2019. Representation included a partnership restructuring and recapitalization.
