Overview

Hannah is a corporate attorney focusing on securities and capital markets transactions, public offerings, and general corporate matters.

Hannah Karraker represents clients in a variety of industries, including life sciences, technology, investment banks, and other financial services firms. Hannah has experience representing both issuers and underwriters in a variety of capital markets transactions, including initial public offerings, reverse mergers, follow-on offerings, private placements, and at-the-market offerings. She routinely drafts and negotiates underwriting agreements, securities purchase agreements, and related transaction documents.

Hannah regularly advises public companies on compliance with federal securities laws, exchange requirements, and corporate governance obligations. She has extensive experience preparing and reviewing U.S. Securities and Exchange filings, including registration statements, annual, quarterly, and current reports, and proxy statements.

In addition, Hannah’s background includes the preparation of corporate governance documents and policies, and experience with board meetings and equity matters.

  • Represented underwriters in $230 million, $173 million, $150 million, and $46 million follow-on offering of common stock of Ondas Holdings, Inc. *
  • Represented underwriters in $175 million follow-on offering and concurrent private placement of common stock of Assembly Biosciences, Inc. *
  • Represented underwriters in $150 million follow-on offering of ordinary shares of InflaRx. *
