International law firm Dorsey & Whitney LLP today announced the addition of Dan Miller as a partner in the firm’s Vancouver office. Miller will join the Canada practice group, which includes corporate partners Chris Barry, Randy Jones, Jeff Peterson, Kimberley Anderson, and Ken Sam. Dan will be based in the Dorsey New York office initially, but will locate to Vancouver before the end of 2005.

“We are aggressively building our Canada practice and Dan is an outstanding addition to the team,” said Dorsey Managing Partner Pete Hendrixson. “Dan’s arrival represents an important development in the commitment to our Canadian clients and their businesses, bringing further strength and depth to our cross-border capabilities in mergers and acquisitions and capital markets."

Miller was with Torys LLP, where he focused on U.S.-Canadian cross-border securities transactions and mergers and acquisitions. He has extensive experience advising Canadian companies on U.S. public and private securities offerings, including offerings under the Multi-jurisdictional Disclosure System (MJDS), Rule 144A, Regulations S and Regulation D. Miller also regularly advises U.S. and Canadian clients on corporate governance matters, including Sarbanes-Oxley, and U.S. corporate and securities laws applicable to foreign companies operating in the United States.

“It is exciting to be a part of Dorsey’s Canada practice because it gives me the platform to expand my cross-border capital markets work for Canadian clients," said Miller.

The Dorsey commitment to serving Canadian clients with U.S. legal issues is well established. Dorsey is the only U.S. law firm with two offices in Canada. The firm is one of only four major U.S. firms with an office in Toronto, and is the only full-service U.S. law firm with an office in western Canada (Vancouver).

Dorsey attorneys do not practice Canadian law.Dorsey works closely with clients’ Canadian solicitors to provide seamless cross-border legal services. The firm acts as U.S. counsel to Canadian public companies and represents issuers and underwriters in cross-border public and private debt and equity offerings by Canadian entities in the securities markets of the United States, Europe and other areas of the world.

Dorsey advises on all aspects of cross-border securities activities and commercial law matters. Attorneys throughout the Dorsey global network of offices, including those in New York, Washington, D.C., London Seattle, Hong Kong and Shanghai, regularly assist in these transactions.

Dorsey wants to be the leading U.S. law firm in Canada and we will do this by developing our own people and attracting talented attorneys like Dan Miller,“ said Dorsey Canada group head, Chris Barry. “Dan’s appointment as partner helps ensure that Dorsey has the capacity to meet the needs of current and future clients.”
