International law firm Dorsey & Whitney LLP has advised Net Optics, Inc., a leading provider of total application and network visibility solutions, in its recent acquisition by Ixia for $190 million in cash. The transaction was publicly announced in late October and closed earlier this month. The addition of Net Optics’ product portfolio will allow Ixia to offer industry-leading, comprehensive network visibility and security solutions, giving enterprises and service providers a single resource to address all of their application and network visibility needs.

Corporate Partner Terry Kelly in the Firm’s Palo Alto office led a team of Dorsey lawyers from seven offices, including Hong Kong, Minneapolis, New York, Palo Alto, Seattle, Shanghai and Southern California, in the acquisition, assisting in negotiation of the transaction and advising Net Optics on corporate and securities matters, tax, labor, employment and benefits, intellectual property, real estate and environmental and trade regulation and export controls.

The Dorsey Palo Alto team advising on this transaction included tax partner John Chase; corporate partner Adrian Rich; labor and employment partner David Murphy; and corporate associates Cara Frisbie and Christina Paulson.

“We are delighted to have had the opportunity to work with Net Optics to complete this transaction,” Kelly noted. “This was a complex deal with a tight timetable for completion which required the highest level of commitment from our client and our team. As a full-service law firm, we were able to advise Net Optics in a wide range of areas and provide the global coverage needed to meet the geographic challenges of the transaction. We wish Ixia continued success.”
