Mr. Epps’ practice focuses on corporate governance, securities transactions, and mergers and acquisitions. His corporate governance experience includes advising public companies with U.S. Exchange Act reporting and compliance, U.S. Securities Act matters and compliance with the rules and regulations of state securities commissions and self-regulatory organizations. His complex securities transaction experience includes public and private offerings, at-the-market transactions, underwritten public offerings, bought deal offerings and PIPE offerings. Mr. Epps also advises clients on mergers and acquisitions, including representing both buyers and sellers in a variety of transactions, including joint ventures. He has extensive experience in counseling clients engaged in cross-border capital markets transactions using the Multijurisdictional Disclosure System (MJDS), Rule 144A, Regulation S. He also provides clients with general broker-dealer regulatory advice relating to the rules and regulations of the Securities and Exchange Commission and the Financial Industry Regulatory Authority (“FINRA”).
In addition to his impressive business endeavors, Mr. Epps is also active in promoting diversity at the Firm. He is co-chair of the Denver office’s diversity committee, part of the Denver Office Community & Diversity Council. The Denver Office Community & Diversity Council recently established a program called “Doughnuts & Diversity,” where the office gathers for panel discussions to discuss diversity and ways to promote a welcoming environment.
Mr. Epps was selected to the Fellows Program of the Leadership Council on Legal Diversity (LCLD), a national organization comprised of general counsels at leading businesses and other organizations, as well as managing partners of major law firms. He was part of a select class of just 158 attorneys from around the country. He also devotes time to the Rocky Mountain Children’s Law Center, where he is a Guardian “Ad Litem” in their domestic violence program. The center serves abused, neglected, and at-risk children. Their domestic violence program is the only one in the country that provides attorneys to represent and ensure the safety of at-risk children. In addition, Mr. Epps also dedicates time to non-profit organizations that help low-income elderly people. He regularly lends his corporate governance expertise to Senior Mobile Dental, an organization that provides dental care to low-income adults and seniors across the Front Range and provides his skills to Delta County Economic Development, helping facilitate effective management for the organization’s long-term success.
Each year, the Denver Business Journal has a panel of judges sift through hundreds of nominations — 250 this year — and choose 40 leaders younger than 40 who already have accomplished much in their professional lives while giving back to the community.
