As the Head of Corporate in our Hong Kong office, Simon brings three decades of U.S., Asia regional and Hong Kong legal experience to bear on the transactions that matter most to his clients — complex cross-border public and private mergers and acquisitions, international corporate finance, and multi-jurisdictional corporate / deal structures that must hold up under the laws of multiple countries at once. His clients include multinational corporations, banks, financial institutions, conglomerates, technology companies, private equity funds, investment funds, family offices, and entrepreneurs on transactions that span the U.S., the People's Republic of China (PRC), and markets across Asia.
A significant portion of Simon's practice is devoted to cross-border M&A — both inbound and outbound — where he regularly serves as lead counsel or special U.S. counsel on acquisitions, divestitures, privatizations, and corporate reorganizations involving entities incorporated in the U.S., Hong Kong, the Cayman Islands, and the PRC. He has advised on several award-winning M&A transactions since the late 1990s, including billion-dollar deals for globally recognized companies across the consumer, technology, and industrial sectors.
Simon's international capital markets practice covers Hong Kong and US stock markets initial public offerings, secondary listings, , convertible notes, rights issues, and concurrent Rule 144A and Regulation S offerings. He regularly acts as U.S. counsel to HKEX-listed issuers, IPO sponsors, and underwriters, advising on U.S. securities law compliance, international sanctions law, and cross-border due diligence for listing candidates with operations in the U.S., the U.K., and other overseas jurisdictions.
Simon advises clients on economic sanctions, corporate governance, foreign investment review, and the U.S. securities law aspects of cross-border transactions. He also helps clients navigate complex regulatory issues involving trade restrictions, investment screening, and emerging technologies, including AI.
As a trusted advisor, Simon advises on dispute avoidance and managing complex cross-border disputes, with hands-on experience spanning proceedings and judgment enforcement across the PRC, Hong Kong, the United States, the United Kingdom, and India.
Simon’s leadership extends beyond his legal practice through his roles as Chairman of the AmCham Law Committee and Vice Chairman of the HKGCC Americas Committee, as well as other leadership positions in industry organizations. He is a sought-after public speaker on legal, business, and technology issues, fostering dialogues between business leaders, policy makers and international stakeholders. Simon was our Hong Kong Office Head from 2016 to 2023.
