Overview
Tim negotiates and advises clients on transactional construction matters and pre-litigation disputes.
Tim specializes in drafting and negotiating construction contracts and supporting project teams throughout the lifecycle of their work. Tim has represented general contractors, subcontractors, owners, and suppliers, and has helped his clients to navigate a wide range of private and public construction projects, including heavy-civil, infrastructure, vertical, tenant improvement, commercial, and residential. This breadth of experience allows Tim to advance his clients’ interests and provide wholistic and practical advice that aligns with business goals. Additionally, Tim regularly helps his clients form, manage, and run business entities, including C- and S-corporations, LLCs, joint ventures, and partnerships.

Experience
- Drafted and negotiated DBIA construction contracts on behalf of a regional general contractor for use with a national developer on multiple projects.
- Counseled a public entity through a competitive procurement process for a major infrastructure project, drafted Request for Qualifications, Request for Proposals, and similar procurement documents for public advertisement.
- Created business entity structure and prepared formation documents to establish start-up general contractor in Colorado.
- Advised general contractor on key risks, pricing concerns, and compliance obligations for a large public infrastructure project to aid in the preparation and submission of competitive bid materials.
- Prepared construction contract templates for regional subcontractor.
- Drafted, reviewed, revised, and negotiated dozens on construction and design-build agreements, including those based on industry templates from the AIA, DBIA, and ConsensusDocs.
- Implemented joint venture structure and drafted Joint Venture Agreements to enable national general contractor to team with a large, international general contractor for multiple projects and bids.
- Drafted, revised, and updated Operating Agreement, Management Incentive Plan, and related corporate documents to facilitate the transfer of equity from founding partners to employees of a regional general contractor.
- Negotiated and resolved commercial disputes related to construction projects, employee departures, and alleged trade secret misappropriation prior to litigation.
