Overview
Will advises clients on a broad range of corporate transactions to advance their strategic and commercial goals.
Will’s practice is focused on advising domestic and international clients on a broad range of commercial and transactional matters, with a particular focus on Canada/U.S. cross-border transactions.
Will has extensive experience across a range of capital markets transactions - including registered debt offerings and private placements - and regularly advises issuers and underwriters on transaction structuring and execution. Will also assists clients with general corporate and securities law matters, including entity formation and organization, regulatory compliance, and corporate governance.
Prior to joining Dorsey’s Toronto office, Will practiced at a major Canadian law firm.

Representative Experience
- Represented a New York-based infrastructure investment firm in a take-private deal of a Canadian solar developer pursuant to a statutory plan of arrangement. *
- Represented a state-owned oil and gas company in its acquisition of a minority stake in a private developer’s land holdings. *
- Represented a not-for-profit healthcare services company in multiple limited public offerings to secure financing for future project development. *
- Represented a conduit bond issuer in multiple conduit bond financings totalling over $100 million. *
- Represented a well-known energy company in the refinancing and re-issuing of senior debt securities. *
