
Overview
Brandon helps clients navigate the complexities of various corporate and securities matters, including mergers and acquisitions, corporate formation, and debt and equity financing.
Brandon’s practice focuses on mergers and acquisitions, private equity transactions, corporate restructurings, and limited liability company formation and governance. He regularly represents private equity funds, as well as privately held companies at all stages of the business life cycle.
Brandon has significant experience advising clients in both buy-side and sell-side mergers and acquisitions, having represented companies across a range of industries, including financial institutions, healthcare, manufacturing, software and technology. He also frequently drafts and negotiates limited liability company agreements, assisting clients in structuring joint ventures and other business ventures with governance frameworks and economic arrangements that protect and advance their interests.
Brandon also counsels clients in various entertainment-related matters and helps structure and implement a wide variety of transactions within the entertainment industry. He has represented talent in the theatre, film and television industries, negotiated employment agreements for industry executives, publishing agreements for authors, shopping and option agreements for screenwriters, and non-theatrical distribution agreements for distributors. Brandon has worked with global talent and branding agencies that represent over $950M in contracts and have garnered numerous Academy Awards, Golden Globes, Emmy Awards, Screen Actors Guild Awards, Tony Awards, and Grammy Awards. He has worked with a literary team that has secured several packaging deals and production contracts with major Hollywood studios and production companies including, but not limited to HBO, Fox, AMC, Netflix, and Amazon.
