International law firm Dorsey & Whitney LLP is pleased to announce that Nora R. Pincus has joined the Firm’s Energy & Natural Resources Group as a Partner in its Salt Lake City office. She will also work in Dorsey’s Denver office.
Ms. Pincus is nationally recognized for her experience in guiding mining, oil and gas, and renewable energy companies through complicated transactions. She leads mergers and acquisitions, joint ventures, divestures and strategic financings for major international mining companies, exploration-focused juniors, energy companies and national banks and private equity funds engaged in the natural resources sector.
“Nora is a superstar in mining transactions,” said Dorsey Energy & Natural Resources Group Co-Chair Wells Parker. “Nora has led many of the most significant mining transactions in the U.S. over the last several years. She is a member of the small group attorneys with the skillset required to structure and close mega-transactions in the mining and energy sectors.”
Ms. Pincus joins Partners Bill Prince, Mark Burghardt, Wells Parker, Megan Houdeshel, and Ben Machlis in Dorsey’s growing Energy & Natural Resources Group in Salt Lake City. The group, which began partnering with mining and natural resources clients when Dorsey opened its office nearly 25 years ago, has expanded rapidly the past two years. With the addition of eight lawyers from 2017 to 2019, including Ms. Houdeshel earlier this year and now Ms. Pincus, Dorsey’s Energy & Natural Resources Group has a robust presence in the Mountain West. The Salt Lake City-based team is supported by Dorsey’s global platform of more than 240 Energy & Natural Resources-related lawyers across the Firm’s 19 offices, including key natural resources producing states like Utah, Colorado, Texas, Alaska, and Montana, as well as in Canada, Europe, and Asia.
In addition to leading M&A and project finance deals, Ms. Pincus’s experience includes representing companies in hedging, offtake agreements, metal streaming transactions, and other complex financing structures relating to natural resources companies. Ms. Pincus also counsels clients on a variety of operational matters, including corporate governance, internal compliance and related best practices, risk management, and supply chain and procurement issues. Ms. Pincus is a frequent speaker on the public land laws of the United States, including the General Mining Law of 1872 and the Mineral Leasing Act, and she provides practical, business-focused advice to clients engaged in operations on federal public lands.
Ms. Pincus joins Dorsey from Parsons Behle and Latimer in Salt Lake City where she was a Shareholder and Department Chair, Corporate Transactions, Securities and Tax. Prior to joining Parsons Behle & Latimer, she was an Associate and Of Counsel at the natural resource law firm Welborn, Sullivan, Meck and Tooley, P.C. in Denver and Salt Lake City.
Nora is an active member of and frequent speaker for the Rocky Mountain Mineral Law Foundation and the American Exploration and Mining Association. Ms. Pincus was named to Utah Business Magazine’s list of Legal Elite and has been recognized by Intermountain Super Lawyers as a Rising Star in Natural Resources and by Colorado Super Lawyers as a Rising Star in Energy and Natural Resources. She was also recently named Lawyer of the Year by the Environmental and Natural Resources Section of the Utah State Bar for her work guiding Barrick through the formation of its historic joint venture with Newmont Goldcorp Corporation, the largest mining transaction in U.S. history.
Ms. Pincus is a board member of the Utah Museum of Contemporary Art and the Anti-Bullying Coalition/Stand 4 Kindness.
Ms. Pincus earned a J.D. from the University of Denver College of Law with Highest Honors: Order of St. Ives, graduating at the top of her class. She earned her B.A. degree, magna cum laude, from the University of Utah, where she was Phi Beta Kappa. After law school, Ms. Pincus clerked for Colorado Supreme Court Justice Alex J. Martinez.
