Randall structures healthcare transactions and counsels clients through corporate practice of medicine restrictions, licensing requirements, and digital health compliance across all 50 states, helping clients move forward with confidence and align their business objectives with applicable regulatory requirements.
Randall advises at the intersection of healthcare regulation, corporate transaction structuring, and commercial contracting. He works with payors, providers, management services organizations (MSOs), pharmacies, long-term care facilities, healthcare technology companies, veterinary practices, dental practices, and nonprofit organizations on issues that are central to whether a transaction, platform, or operating model can be implemented successfully.
In transactional matters, Randall supports buyers, sellers, and operating companies through regulatory diligence, structuring analysis, and contract drafting. He brings particular focus to anticipating compliance issues early, aligning legal structure with business objectives, and helping clients move from issue-spotting to workable solutions.
A significant part of Randall's practice involves corporate practice of medicine and related professional-entity restrictions. He counsels clients on MSO and “friendly physician” structures, physician employment and contracting models, and the state regulatory regimes that increasingly affect healthcare transactions, including private equity oversight laws and healthcare transaction notice requirements.
Randall also advises clients operating across jurisdictions on digital health, telehealth, and related licensure requirements. His work in this area often involves translating varied state-level rules governing remote care delivery, professional licensure, and related compliance/structuring obligations into practical guidance for companies pursuing national or multi-state healthcare business strategies.
He separately advises clients on insurance regulatory issues, including insurance producer, adjuster, and third-party administrator requirements. This work includes helping healthcare and health-adjacent companies evaluate when their business activities may trigger licensing, appointment, registration, or compliance obligations across multiple jurisdictions.
Randall also serves on Dorsey’s recruiting committee where he assists with Dorsey’s summer associate program and junior associate hiring considerations.
