Nick Taylor structures mergers and acquisitions, capital raises, and investment funds for large, established companies, start-ups and emerging companies, closely held businesses, real estate developers, venture capital firms, and private equity firms—turning complex transactions into clean exits, funded ventures, and scalable businesses.
Nick builds deals. Whether he is guiding a startup through its first equity raise, structuring a multimillion-dollar acquisition, or serving as outside general counsel to an established regional company, Nick brings the same discipline to every engagement: get the deal done right and position the client for what comes next.
Nick's mergers and acquisitions practice spans the full transaction lifecycle—from initial structuring through due diligence, negotiation, and closing. He represents buyers and sellers in stock and asset deals, reverse triangular mergers, and carve-out acquisitions, and has closed transactions ranging from regional business sales to cross-border corporate combinations involving U.S. and foreign entities. His clients include corporations, limited liability companies, private equity firms, venture capital funds, serial entrepreneurs, and serial investors.
Capital markets and financing work runs alongside Nick's M&A practice. He negotiates and closes equity, debt, and convertible debt financings; leads private placements; and establishes securities compliance programs for companies at every stage of growth. Nick also advises real estate developers, venture capital firms, and private equity firms on the formation and operation of investment funds, including fund structuring, sponsor and management-company arrangements, governance, offering and subscription documents, investor negotiations, and ongoing legal matters. He has also represented clients in connection with preferred-stock reorganizations and complex debt financings of large-scale infrastructure projects.
For many clients, Nick functions as their outside general counsel. In that role he advises executives, directors, managers, and owners on corporate governance, financial matters, strategic planning, employment and independent contractor issues, equity incentive compensation programs, and contract drafting and review. He works across a range of industries, with particular depth in technology, food and beverage, restaurant and franchise businesses, renewable energy, healthcare, and real estate.
