Advised International Taifeng Holdings Limited, a manufacturer and distributor of bedding products and cotton yarn products, as special U.S. counsel on the U.S. Reg S aspects of the Hong Kong IPO.
Advised BNP Paribas Capital (Asia Pacific) Limited as special U.S. counsel in the initial public offering in Hong Kong and Rule 144A offering of electronics retailer and distributor, Huiyin Household Appliances (Asset Triple A Awards 2010 "Best Small Cap Equity Deal of the Year).
Advised Imation Corp. with its US $370 million global acquisition of the TDK brand recording media business in a combination of Imation common stock and cash.
Advised Imation Corp. on the global acquisition of Memorex from a Hong Kong conglomerate for US$330 million
Advised Energizer in the global acquisition of Schick for US$930 million.
Special U.S. counsel to Computime Group Limited, a Hong Kong-based electronic control and automation device company, in its initial public offering on the Stock Exchange of Hong Kong and global offering. The IPO and global offering (sponsored and underwritten by JP Morgan) closed with a total amount raised of HK$456 million (approximately U.S. $58 million). (Named by FinanceAsia as 'Best Small Cap Deal of 2006').
Advised Solargiga Energy Holdings Limited, China's second largest maker of monocrystalline silicon ingots which are used in the PV cells of solar energy systems, and acted as special US counsel in its global offering of 338,133,000 shares at a price of HK$2.92.
Advised BNP Paribas Capital (Asia Pacific) Limited and UBS AG as special U.S. counsel in the proposed initial public offering in Hong Kong and Rule 144A offering of a Hong Kong-based printing company.
Advised BNP Paribas Capital (Asia Pacific) Limited as special U.S. counsel in the proposed initial public offering in Hong Kong and Rule 144A offering of a PRC chemicals manufacturer.
Advised Affinia Group Intermediate Holdings Inc. on the acquisition by its subsidiary of an 85% equity interest in HBM Investment Limited, one of the world's largest drum and rotor manufacturer.
Advised a number of PRC real estate developers as special U.S. counsel in proposed initial public offerings in Hong Kong and Rule 144A offerings.
Advised California and Hong Kong based on demand TV technology company with its US$45 million merger of one of its business units including the reduction of share capital of one of its Hong Kong incorporated companies with another NASDAQ listed company.
Represented NASDAQ listed audio technology company SRS Labs, Inc., in a multi-jurisdictional cross-border M&A, involving the disposal and buy-back of shares of a Bermuda incorporated target company with operations and companies in Hong Kong and China. The legal issues involved ranged from California laws, U.S. securities compliance, Hong Kong laws, Bermuda laws, cross-border employment laws, and Singapore laws (where the Buyer is listed).
Advised Tian An China Investment Company Limited in respect of its US securities laws obligations of an offering circular involving the proposed revised open offer to qualifying shareholders involving 251,853,983 shares at a subscription price of HK$6.00.
Represented a Chinese state-owned electric company in acquiring interest in a public utilities company in Macau.
Advised the acquiring company on a takeover transaction involving a publicly listed company with businesses in investments, clothing, construction, property development, medicine, hotel, newspapers, telecommunications, information technology, media and insurance.
Advised international and foreign funds in their offering of privately placed investment products to Hong Kong.
Advised a Hong Kong conglomerate in an acquisition of stakes in a major Hong Kong publicly listed groups involving upstream takeovers of companies listed on the NYSE, NASDAQ , the Australian Stock Exchange and the Canadian Venture Exchange.
Advised a Hong Kong conglomerate in the bidding of the Macau gaming license.
Advised a Hong Kong publicly traded company in the structuring of tax treaty transactions, involving re-domicile of corporate groups in BVI to Barbados which held listed securities listed on the Canadian Venture Exchange.
