Overview
As an associate in Dorsey’s Technology Commerce Group, Cat works extensively on technology transactions, licensing of intellectual property, venture financings, and complex commercial agreements. She drafts and negotiates complex agreements that involve technology licensing, SaaS and cloud services, software and platform development arrangements, commercialization, and strategic partnerships. She frequently advises clients on intellectual property ownership, data rights, and product integration.
Cat has particular experience advising clients developing and deploying artificial intelligence (AI) technologies. She counsels companies on AI-related contracting, risk allocation, model development and training issues, data use considerations, regulatory developments, and the evolving legal landscape surrounding generative AI and automated decision-making systems.
Cat also maintains an active practice advising startups and high-growth companies throughout their lifecycle — from formation and early-stage structuring through venture capital financings, scaling, and exit planning. She provides practical, business-oriented guidance on equity and debt financings, corporate governance, investor negotiations, and day-to-day operational matters.
Before joining Dorsey, Cat served as a law clerk to the Honorable Judge John R. Tunheim of the U.S. District Court for the District of Minnesota.
