Overview

Erin represents banks and other financial institutions in a wide variety of financing transactions including secured and unsecured bond issuances, project financings, structured financings, and senior and subordinate loans.

As an active member of the firm’s Banking and Financial Institutions Group, Erin’s practice focuses on the representation of institutions acting as corporate trustee, collateral agent, escrow agent, and other service roles in connection with financial transactions.

Additionally, Erin has represented trustees and agents involved in default and bankruptcy situations, in connection with both secured and unsecured loans.

Corporate Bond Offerings

  • Represented a bank acting as trustee and paying agent in connection with the issuance of both dollar- and euro-denominated bonds by one of the largest producers and transporters of energy in the United States
  • Represented a bank acting as trustee and paying agent in connection with the issuance and administration of numerous series of bonds by a wireless service provider

Loan Administration and Project Finance

  • Represented a financial institution acting as collateral agent and depositary bank in connection with  a term loan and issuance of notes to the largest private owner of solar assets in the United States.
  • Represented a financial institution acting as both first and second lien collateral agent in connection with the administration of senior and subordinate loans to the largest independent national provider of outpatient care solutions 

Structured Finance

  • Represented a financial institution acting as purchase contract agent, collateral agent, custodial agent, and securities intermediary in connection with the issuance of corporate units and remarketing of the underlying notes
  • Represented a financial institution acting as trustee in connection with government-sponsored, mortgage-backed bond issuances
  • Represented various trustees in connection with numerous securitizations including auto loans, mortgages and credit card obligations

Default/Bankruptcy

  • Represented a financial institution acting as collateral agent in connection with the bankruptcy of a manufacturer of solar panels
  • Represented a financial institution acting as trustee and collateral trustee in connection with the bankruptcy of an aluminum processing company
