Overview
Karan supports clients through all stages of completing cross-border transactions and accessing U.S. Capital Markets.
Karan advises clients on regulatory compliance, corporate governance, and capital market matters, including private and public offerings, at-the-market transactions, and listings on the NYSE, Nasdaq, and OTC Markets. As an associate in Dorsey’s Capital Markets & Corporate Governance and Compliance Practice Group, Karan focuses on Canadian/U.S. cross border transactions. Karan also assists with a variety of corporate transactions, including mergers and acquisitions. Prior to joining Dorsey’s Toronto office, Karan was a summer associate at a prominent U.S. law firm in New York.

- Underwriter’s counsel to Canaccord Genuity for Contango ORE, Inc.’s $50 million underwritten offering of common stock and pre-funded warrants.
- U.S. Counsel to Integra Resources Corp. in its $61 million bought deal public offering.
- Represented Caledonia Mining Corporation Plc (NYSE: CMCL) in its US$150 million offering of 5.875% Convertible Senior Notes due 2033.
- Served as U.S. counsel to Gold X2 Mining Inc. (TSXV: AUXX / OTCQB: GSHRF / FWB: DF8) on its successful acquisition of Kesselrun Resources Ltd.
- Advised BTQ Technologies Corp., a global quantum technology company focused on secure network solutions, on its successful listing on the NASDAQ Global Market. (NASDAQ: BTQ)
- Served as the most senior associate representing Energy Fuels Inc. (NYSE: UUUU) (TSX: EFR) in its US$700 million offering of 0.75% Convertible Senior Notes due 2031.
