Overview

NORA ADVISES CLIENTS ON TRANSACTIONAL MATTERS AND PROJECT FINANCE IN THE MINING AND ENERGY INDUSTRIES.

Nora is nationally recognized for her experience guiding mining, oil and gas, renewable energy and agricultural companies through complicated transactions. Her practice focuses on representing clients in high value asset transactions, financings and project development/build-out. 

Nora is a trusted advisor to general counsels, C-suite executives and boards of directors of large and small companies, providing practical, business-focused advice on a range of strategic, regulatory and operational matters.  

Nora has substantial experience managing multi-disciplinary teams in major M&A transactions from due diligence to closing. Nora is an expert on the public land laws of the United States, working in tandem with regulatory and commercial teams in facilitating environmentally responsible development on public lands. Nora also helps clients in the ranching and agricultural sectors reach their commercial and conservation goals.  

Nora’s clients include domestic and international mining and energy companies, renewable energy developers, multinational agricultural corporations, national banks and private equity funds.

  • Lead U.S. counsel to Barrick Gold Corporation in formation of Nevada Gold Mines LLC, a $12B joint venture with Newmont Goldcorp Corporation
  • Counseled Navajo Transitional Energy Company in the acquisition of substantially all of the assets of Cloud Peak Energy in Section 363 Bankruptcy Sale
  • Represented a tax equity investor in multiple utility-scale renewable energy projects
  • Counseled MAG Silver Corporation in the acquisition and consolidation of Deer Creek Mine 
  • Advised clients on the intersection between environmental liability transfer, bonding and traditional financing
  • Represented Agnico Eagle Mines Limited in structuring brownfield redevelopment of Gilt Edge Mine
  • Represented Navajo Transitional Energy Company in structuring simultaneous settlement of litigation, purchase of power plant, refinancing and renegotiation of fuel supply agreement
  • Advised clients on corporate governance, internal compliance, risk management and related best practices
  • Represented a utility-scale solar development company in structuring process for acquisition and redevelopment of brownfield properties
  • Represented Barrick Gold Corporation in acquisition of Robertson Project from Coral Gold Resources
