Overview

A partner in the Banking Industry group, Jay focuses his practice on financial institutions, including banks, trust companies, commercial and residential mortgage brokers, specialized lending businesses and health, welfare and retirement plan administrators. Jay works closely with members of the Finance and Restructuring and Corporate practice groups, often combining the expertise of each of these groups to serve as outside general counsel as well as a strategic advisor and counselor to clients and their executive management teams. Jay regularly advises clients on mergers and acquisitions, risk management, capital formation and regulation, bank regulatory strategy and enforcement matters, and product development and diversification. Jay's clients include banks and financial services organizations of all sizes and he assists many with assets in the $1 billion to $10 billion range as they continue to grow and diversify their businesses.

Jay has represented financial institutions for over 25 years, both as a law firm partner and financial services executive. During that time, he served as Executive Vice President, General Counsel and Director of Corporate Development with Alerus Financial and prior to that as General Counsel and Senior Vice President with Marquette Financial Companies where he gained substantial experience and insights into the financial services industry which he continues to draw upon as a legal advisor and counselor. While at Alerus, Jay lead the company’s acquisition efforts and supervised the legal, compliance, audit and risk management functions. As part of the Marquette senior management team, Jay served on bank and trust company boards, was as a key member of the mergers and acquisition team, and supervised the legal and compliance functions.

Jay also advises clients outside the banking industry, primarily in the area of mergers and acquisitions. His clients outside banking have included registered investment advisors, broker/dealers, information technology consulting firms, and a professional sports team.
