Overview

ADAM HELPS BANKS AND INVESTORS IN A WIDE ARRAY OF FINANCIAL TRANSACTIONS. HE DOES NOT JUST CLOSE DEALS FOR HIS CLIENTS, HE WORKS WITH CLIENTS TO ANTICIPATE PROBLEMS AND FIND SOLUTIONS THROUGHOUT THE LIFE OF A TRANSACTION.

Adam is an active member of the firm’s Banking Industry Group, chairing one of the Group’s committees, and is co-chair of one of the firm’s client service teams. Adam is also the Pro Bono Transactional Partner for Dorsey's New York office. His practice focuses on the representation of financial institutions and investment funds in secured and unsecured financings and restructuring transactions, with a concentration on international and domestic corporate trust matters. Adam works with financial institutions serving as trustees, collateral agents, depositaries and escrow agents.

Adam has represented pension funds, investment firms, and private and public companies in securities and bankruptcy matters. He also has experience representing clients before numerous regulatory agencies, including the NYSE and FINRA.

Representative Matters

Loan Administration and Project Finance

  • Represented a financial institution acting as administrative agent and collateral agent in connection with a $70 million term loan to a coal mining company.
  • Represented a financial institution acting as administrative agent and collateral agent under a $150 million revolving credit facility and as collateral agent in connection with the offering of $800 million of senior secured notes for a casino and resort.
  • Represented a financial institution acting as collateral agent and depositary agent in connection with a series of project finance transactions for a cleantech energy producer.
  • Represented a financial institution acting as administrative agent and collateral agent in connection with an initial $20 million term loan to the manufacturer of high performance materials and subsequent transactions.

Municipal and Corporate Bond Offerings

  • Represented a financial institution acting as trustee in connection with the issuance of $8 billion Notes, €750 million Notes and £700 million Notes by a U.S. based drugstore chain.
  • Represented a financial institution acting as trustee and paying agent in connection with several municipal bond offerings for various projects including municipalities, bridge authorities, universities and public facilities, including public aquariums and zoos.
  • Represented a financial institution acting as trustee and collateral agent in connection with the issuance by a Canadian salt manufacturer of $220 million of its senior secured notes.
  • Represented a financial institution acting as trustee and collateral agent in connection with various secured bond offerings by a telecommunications company and subsequently acted as litigation counsel in connection with disputes arising between the company and investors.
  • Represented a financial institution acting as trustee in connection with the issuance of $1 billion of the guaranteed notes by one of the largest coal producers in China.
  • Represented a financial institution acting as collateral agent in connection with the $1.4 billion refinancing of a major automaker’s term and revolving credit facilities and issuance of $3.2 billion of notes by the company in connection with the prior bailout by the U.S. government.

Structured Finance

  • Representation of a registered investment advisor acting as collateral manager, auction agent and liquidation agent in connection with various CDO transactions with an aggregate principal balance in excess of $10 billion.
  • Representation of trustees in connection with various securitizations including auto loans and private student loan programs.
  • Representation of a financial institution acting as fiscal and paying agents in several international commercial paper and certificate of deposit programs.

Bankruptcy, Restructuring and Workout Matters

  • Represented a financial institution acting as collateral agent and trustee in the largest bank backed debtor-in-possession financing in history.
  • Represented a film distribution company in connection with the foreclosure and ultimate public sale of a catalogue of classic and independent films.
  • Represented a hedge fund in the purchase of the assets of a publicly-held manufacturing company in a Section 363 bankruptcy sale and the subsequent restructuring of the assumed debt.
  • Represented a financial institution acting as trustee and agent in connection with various transactions relating to the Lehman Brothers Inc.'s bankruptcy and related proceedings.
  • Represented the U.S. and Mexican units of a financial institution acting as trustee and collateral agent in connection with a Mexican bankruptcy proceeding and restructuring of the Mexican issuer’s senior secured notes.
