Overview

Jack uses the skills he learned on Capitol Hill to advocate for his clients in the courtroom.

Jack is a Partner is Dorsey’s Securities and Financial Services Litigation Group and Co-Chair of the firm’s Cooperative Law Practice. In his practice, Jack represents clients in fiduciary duty disputes, securities litigation, government investigations, governance disputes, advisor fee litigation, director and fiduciary liability cases, and commercial contract disputes. A significant portion of Jack’s work focuses on serving clients in the food, agriculture, energy, and financial services industries. Through this work, Jack manages all aspects of litigation, from the pleadings stage to trial, and has extensive experience with civil motion practice and complex discovery.

Jack also has substantial experience counseling clients on governance matters, antitrust issues, and regulatory compliance, with a particular emphasis on advising cooperatives in the food and agriculture industry. In his counseling practice, Jack draws upon his experience in each of the three branches of government to craft creative solutions for his clients.

Before joining Dorsey, Jack worked on Capitol Hill where he advised members of Congress in both the Senate and House on agriculture, environmental, transportation, and trade legislative and regulatory issues. Jack also worked in the executive branch at the United States Department of Agriculture, where he served on the staff of the Under Secretary for Rural Development. Immediately prior to starting his practice at Dorsey, Jack served as a judicial law clerk in the United States District Court for the District of Minnesota.

Jack maintains an active pro bono practice and has represented tribal members in disputes pertaining to the taxation of land on tribal reservations and low-income clients before state housing court. Jack is also a member of Dorsey’s Lower Sioux Indian Child Welfare Team, which represents the interests of native children in child protection cases in Minnesota state courts.

Experience

Representative Work

  • Represented and successfully defended CEO and CFO of publicly traded company in putative shareholder class action lawsuit alleging securities fraud under § 10 of the Securities Exchange Act in connection with a corporate acquisition. Obtained complete dismissal of all claims at the pleadings stage.
  • Represented and successfully defended health care executive against claims of insider trading and trade secret misappropriation. Directed settlement negotiations resulting in release of all claims and seven-figure award to client for counterclaims.
  • Represented and successfully defended ownership group of financial institution in putative class action brought by retirement plan investors asserting various claims for breach of fiduciary duty. Obtained complete dismissal of all claims in no-damages settlement.
  • Represented and defended ownership group of financial institution in government investigation and enforcement action that unsuccessfully sought to block proposed multibillion-dollar transaction.
  • Represented public institution in governance dispute with taxpayer funded non-profit corporation, which resulted in favorable nine-figure settlement. 
  • Represented numerous trustees of high-net worth family trusts in breach of fiduciary duty disputes in Minnesota and Wisconsin state court. 
  • Represented financial services executives in government investigation pertaining to the alleged misuse of corporate assets.
  • Represented investment bank in dispute regarding unpaid transaction fee for private placement of equity and debt restructuring. Prepared mediation strategy that resulted in seven-figure settlement award in client’s favor.
  • Represented agricultural cooperative in dispute pertaining to nine-figure agreement to develop a large-scale bio-manufacturing facility. Successfully moved for a temporary restraining order preventing opposing party from abandoning agreement.
  • Represented agricultural cooperative in dispute with federated cooperative pertaining to breach of membership agreement. Successfully resolved dispute through creative settlement involving the sale of assets and restructuring of membership cooperative. 
  • Represented multiple financial institutions and corporations in putative class actions asserting violations of state and federal consumer protection statutes. 
  • Represented directors in putative shareholder class action asserting claims for minority shareholder oppression and breach of fiduciary duty.
  • Represented agriculture cooperative in breach of contract dispute with supplier.
