Sam helps clients solve corporate and commercial challenges, including those at the intersection of business and government.
Sam advises public, private, and emerging companies on a broad range of corporate and transactional matters, including mergers and acquisitions, corporate governance, entity formation and structuring, licensing arrangements, and the drafting and negotiation of commercial agreements. His work includes domestic and cross-border transactions, expansion initiatives, and matters involving regulated industries. Sam works closely with clients to understand their business objectives and provide practical legal advice that helps them structure transactions and commercial relationships, manage risk, and pursue opportunities for growth.
Sam’s law and policy work is a central part of his practice, focused on developing and executing government affairs strategies that advance clients’ business objectives. He works with clients on legislative and regulatory matters, engagement with Congress and federal agencies, Freedom of Information Act requests, government contracting matters, and the federal appropriations process. Sam has helped clients pursue and secure federal funding and also advises on the compliance obligations that accompany government engagement, including the Lobbying Disclosure Act, Foreign Agents Registration Act, campaign finance laws, and related political law matters.
Before joining Dorsey, Sam worked in Washington, D.C., on Capitol Hill, where he advised Members of Congress on foreign affairs and financial regulation. His experience in government informs his work with clients whose commercial objectives involve legislative, regulatory, or other government action.
