STEPHEN ASSISTS DOMESTIC AND FOREIGN CLIENTS IN ACHIEVING THEIR BUSINESS GOALS THROUGH CONVENTIONAL AND STRUCTURED DEBT FINANCINGS, EQUITY FINANCINGS, AND GENERAL CORPORATE TRANSACTIONS.

Stephen represents public and privately-held business organizations and nonprofit entities in all manner of commercial transactions. He assists financial institutions in connection with debt financings secured by collateral ranging from receivables to commercial real estate, transactions under master securities repurchase agreements, letter of credit transactions, and various compliance and regulatory matters.

Stephen regularly represents clients in industries as diverse as health care, education and fashion in engagements involving equity financings, debt financings, governance, corporate restructurings, mergers and acquisitions, joint ventures, consulting arrangements, software licensing, and non-compete and confidentiality agreements.

Representative Work

  • Represented the U.S. subsidiary of a Chinese technology company, as borrower, in connection with a $20,000,000 acquisition financing secured by all personal and intellectual property of the U.S. target company
  • Represented a nationwide non-profit community development organization in the creation of a fund focused on the improvement of distressed communities through the purchase, rehabilitation, and lease or sale of single family homes to low and moderate income families
  • Represent lenders and borrowers in structuring, negotiating, and documenting financings of health care providers (including nursing homes, hospitals, and physicians’ groups) secured by Medicare, Medicaid, private pay, and third-party insurance receivables
  • Represent a Swedish bank in secured and unsecured credit facilities ranging in size from $5,000,000 to $100,000,000 to domestic and international borrowers
  • Regularly represent major domestic bank, as Joint Lead Arranger and/or Syndication Agent, in the review of syndicated credit facilities to Fortune 500 borrowers
  • Negotiated $10,000,000 donation agreement between a non-profit scientific academy and a major private foundation for the creation of a nutrition institute
  • Negotiated and documented a joint venture agreement between an engineering university and a faculty member for the commercialization of organic solvent patents
  • Represented a Swedish investor in the sale of an interest in a U.S. limited liability company in exchange for a non-exclusive, royalty-free license to use certain water flow technology patents
  • Represented a medical device company in the refinancing of $40,000,000 in indebtedness which was secured by all receivables, inventory, equipment, and intellectual property of the borrower and its subsidiaries
  • Represented designers in the negotiation and execution of various multi-year consulting agreements with premiere fashion houses
  • Represented a client in the art exhibition business in connection with various service contracts and license agreements
