Jon also guides clients through the increasingly complex compliance standards of contemporary corporate governance, national securities exchanges and SEC disclosures and regulations. An Of Counsel in Dorsey’s Corporate group, Jon leads cutting-edge debt and equity securities offerings, advising public and private companies as well as investment banks. Jon’s offering experience ranges from venture capital and initial public offerings to shelf registrations, registered direct offerings and Rule 144A convertible note offerings. In over 30 years of practice, Jon has advised clients on offerings for issuers in technology, medical devices, healthcare, food and agriculture, banking and financial services, manufacturing and industrial products, energy, transportation and restaurants. Jon regularly advises clients on implementing corporate governance best practices, complying with SEC public company regulations, addressing difficult disclosure issues and responding to capital markets regulators. Jon frequently speaks and writes on capital markets and SEC compliance topics.

- Assisted The Mosaic Company, the world’s leading producer and marketer of concentrated phosphate and potash crop nutrients, in raising $2 billion through a public offering of three tranches of Senior Notes
- Helped Best Buy Co., Inc., a multinational e-commerce and physical retailer of consumer electronics, complete a $500 million public offering of Senior Notes
- Guided Donaldson Company, Inc., a worldwide manufacturer of filtration systems and replacement parts, in a $150 million private placement of Senior Note with subsidiary guarantees to a group of institutional investors
- Advised Heartland Financial USA, Inc., a multi-bank holding company, on a Rule 144A offering of $75 million principal amount of Subordinated Notes and subsequent registered A/B Exchange
- Represented UnitedHealth Group in a $3 billion public offering of Senior Notes
- Completed numerous initial public offerings and listings of common stock in various industries, including technology (Lawson Software), medical devices (AngioDynamics), manufacturing (Pemstar), financial services (eFunds) and restaurants (Buffalo Wild Wings)
- Assisted Lawson Software, a global provider of enterprise software, in a $240 million Rule 144A offering of Convertible Senior Notes
- Teamed with Dorsey M&A colleagues on a successful dual-track strategy – company sale/IPO – that resulted in the sale of Transport America, Inc.
