Dorsey & Whitney LLP represented Royal FrieslandCampina, a leading global dairy company headquartered in the Netherlands, in its completed acquisition of Wisconsin Whey Protein, a U.S.-based producer of whey protein isolate and ingredients.

The transaction strengthens FrieslandCampina’s global protein platform and expands its production capacity in the United States, supporting growing demand for high-quality protein ingredients across nutrition, food, and consumer products markets. Wisconsin Whey Protein will become part of FrieslandCampina Ingredients, enhancing the company’s ability to serve customers across North America, Europe, and Asia.

Dorsey advised on all aspects of the acquisition, including transaction structuring, negotiation, and related commercial arrangements, as well as construction contracts for key projects to create additional facility capacity.

The Dorsey team was led by Mergers & Acquisitions partners Jonathan Van Horn and Brian Burke and included associates Michaela Crawford and Dawn Jamison. Of Counsel Michael McCormick and Partner Marcus Mollison advised on construction contract negotiations.

The transaction reflects Dorsey’s continued work guiding multinational companies through complex cross-border acquisitions and strategic investments in the food, beverage, agribusiness, and ingredients sectors.
