Yulie joined Dorsey in 2020, and has become an integral part of Dorsey’s award-winning U.S.-China Practice Group.

Before joining Dorsey, Yulie practiced law in the Greater Los Angeles Area for nine years, where she has gained tremendous court-room experience in a wide array of commercial litigation matters, including disputes involving unfair business practices, trade secrets, fraud, employment matters and shareholder disputes. She frequently represents clients in state and federal courts in the U.S., and has litigated a number of cases in courtrooms all the way through jury and bench trials. Besides litigation, Yulie also regularly advised her clients on legal issues affecting typical business operations on all fronts based on California law. She served as outside legal counsel for businesses in a wide range of industries, including several leading Hollywood production services companies and movie studios.

Drawing on her extensive experience in California, Yulie is uniquely positioned to represent Chinese clients in U.S. legal proceedings, and is adept at handling and leveraging on issues that have a unique impact on Chinese parties in U.S. litigation, such as service of process, personal jurisdiction, extraterritoriality of U.S. laws, and cross-border discovery. Yulie also has significant experience representing clients who are subject to regulatory investigations and sanctions undertaken by various U.S. government agencies.

As a U.S. trained attorney and a native speaker of Mandarin Chinese, Yulie uses her bilingual and bicultural skills to represent Chinese companies in strategic corporate transactions, including cross-border mergers and acquisitions. Yulie is enthusiastic in tackling the unconventional challenges her clients are facing, and formulating strategies and legal solutions to help clients achieve their business goals.

Representative Experience

Litigation/Dispute Resolution:

  • Obtained complete dismissal in favor of Chinese investor, in the pleading stage, of complaint alleging breach of investor’s representation contained in an investment agreement in connection with a $200 million USD investment.
  • Represented founders of a biotech company to prosecute breach of fiduciary duty and theft of trade secret claims against co-founders; obtained settlement after court granted our motion to compel production of records
  • Defended a Chinese investor in a breach of contract action involving breakup fee in a stock purchase agreement brought by a NSADAQ listed publicly traded company; case settled for less than 4% of the original demand with full release.
  • Represented plaintiff in a fraud case filed 16 years after the incident and successfully defended plaintiff in the motion to dismiss filed by defendant based on statute of limitations.
  • Represented plaintiff in a fraud/conversion case against defendant and a major bank in the U.S., following a 5-day bench trial, obtained favorable judgment for client; settled with the bank on favorable terms for client in early stage of litigation.
  • Represented a HKSE listed public company in a contract dispute with a California tech-startup company arising out of a software development agreement; case settled for a fraction of the original demand.
  • Advised a pharmaceutical company in a post-closing contract dispute during the performance cycle of a licensing agreement.
  • Successfully defended employees against former employer’s motion for temporary restraining order on misappropriation of trade secret claims.

Regulatory Investigations/Sanctions:

  • Provided guidance and successfully helped a Chinese company be removed from the Unverified List (“UVL”) issued by Bureau of Industry and Security of the United States Department of Commerce (“BIS”)
  • Provided advice to Chinese producers on various international trade issues, including the UFLPA sanctions, AD/CVD duties, and U.S. Customs regulations.
  • Advised a Chinese energy company on responding to post-closing RFIs from CFIUS.
  • Provided guidance to Chinese companies and their U.S. subsidiaries in navigating through law enforcement actions and other legal proceedings undertaken by various U.S. federal agencies, including the Department of Homeland Securities, Customs and Border Protection, Department of Justice, Department of Labor, Federal Communications Commission, and etc.
  • Representing researchers and faculty members across the U.S. in NIH, NSF, DOJ and FBI investigations relating to China ties

Corporate/Mergers and Acquisitions:

  • Represented The Coca-Cola Company in the sale of its bottling businesses for still beverages in Mainland China to Swire Group and China Oil and Foodstuffs Corporation
  • Represented Cainiao, as the U.S. counsel, in the acquisition of De Well, a provider of cross-border logistics solutions
  • Represented Huntsman Corporation in the corporate separation of Shanghai Lianheng Isocyanate Co., Ltd., a joint venture established by Huntsman Corporation, BASF SE and three Chinese state-owned companies.
  • Represented Ballard Power Systems, Inc. in a Series A equity financing to fund a ramp-up of production and development of new clean energy vehicle platform.
  • Represented a Chinese wastewater treatment company in an intended acquisition of a Delaware company that owns exclusive contractual rights to process landfill gas from four landfills in Brazil
  • Represented Chinese investor in acquiring U.S. manufacturer of precision measuring tools (in business for over 58 years)
  • Represented one of the largest studio-based production equipment companies in Hollywood in connection with a series of strategic asset acquisitions of grip and lighting equipment businesses all over the U.S.
  • Represented purchaser in acquiring a chain restaurant in Los Angeles including the real property and Alcohol Beverage Control license
  • Assisted a NYSE-listed public company in the education field in its intended acquisition of a San Jose based technology startup
  • Represented one of the largest Hollywood studios, handled their commercial office leases and stage licenses with leading production companies such as Disney, Lucas Film, HBO, etc.
