Larry Ward is an international business attorney focusing on U.S. national security law, international trade compliance law and licensing. Larry is a Partner in the corporate department in the Seattle office of Dorsey & Whitney LLP. Larry helps government contractors, technology, manufacturing, retail, service, hospitality, biotech and other companies involved in international trade understand and comply with various complicated U.S. regulatory schemes in a cost-effective manner so that they can avoid the monetary, criminal and other penalties and reputational damage faced when those regulations are violated. Larry helps clients build and refine compliance programs, train employees, classify products for export purposes, apply for export licenses from the U.S. Government when necessary, structure internal safeguards for dealing with classified federal government information, internally investigate potential violations of the law and strategize how best to disclose violations to the U.S. Government when something has gone wrong. Larry also helps clients in building international relationships with various third parties by drafting and negotiating agency and distribution agreements, manufacturing agreements, intellectual property licenses, franchise agreements and other commercial contracts. Larry advises clients on compliance matters related to U.S. export controls and regularly represents clients before the Department of Commerce on matters involving the Export Administration Regulations (EAR), the Department of State on matters involving the International Traffic in Arms Regulations (ITAR) and the Department of the Treasury on matters involving the embargoes administered by the Office of Foreign Assets Control (OFAC). Larry also represents energy and technology companies on the export regulations administered by the Department of Energy and the Nuclear Regulatory Commission. Larry regularly prepares export license applications and classification requests and drafts export compliance policies and training programs for clients ranging from small emerging companies to large public corporations and international professional associations. Larry counsels clients on regulatory issues associated with foreign investment in the United States, including reviews by the Committee on Foreign Investment in the United States (CFIUS), foreign ownership, control and influence (FOCI) mitigation plans under the National Industrial Security Program Operating Manual (NISPOM) and export control due diligence in mergers and acquisitions.
Larry regularly negotiates and drafts IP licensing agreements (particularly in the fields of life science and biotechnology), contracts, and franchise, supply and distribution agreements.
