Jeff Saunders is a partner in the Corporate group. His practice includes clients in a number of industries, with a primary focus on companies involved in the health care and information technology industries. He has extensive experience across the spectrum of the health care supply chain, from medical device and pharmaceutical manufacturers, to health care technology and service providers, and helped pioneer the development of consumer-driven products and services in the health care benefits area. His information technology practice includes representation of companies providing a wide variety software, hardware and telecommunications products and services. He regularly advises clients on private and public equity offerings, mergers and acquisitions, joint ventures, technology development and licensing agreements, corporate governance and regulatory compliance.
Jeff has a strong background in securities and corporate finance matters. He regularly advises clients with respect to corporate governance matters, public company compliance and executive compensation. Representative experience includes the representation of issuers, underwriters, and venture capital and private equity funds in transactions ranging from private placements and venture capital investments to public offerings of equity and debt. In addition, Jeff regularly advises boards of directors and audit committees on the conduct of internal investigations and responding to regulatory bodies exercising investigative powers.
Jeff's mergers and acquisitions experience includes representing public and private buyers and sellers, investors and stockholders in all types of transactions including strategic and tactical acquisitions, leveraged and management buyouts, corporate reorganizations, mergers and divestitures.
