Mr. Rosenau is an associate in the Corporate Group. Mr. Rosenau has represented issuers and underwriters in a broad range of public and private securities transactions, including initial and secondary public offerings; Rule 144A and Regulation S offerings; Regulation D offerings; registered "shelf" offerings; and exchange offers. Mr. Rosenau also regularly counsels issuers in connection with corporate governance matters and the preparation of periodic reports under the Securities Exchange Act of 1934.
In the mergers and acquisitions field, Mr. Rosenau has represented buyers and sellers in a variety of transactions, including stock and asset purchases and sales, mergers, reorganizations and related transactions.
