David A. Richardson is a Partner in Dorsey’s Hong Kong office.  His practice is focused on corporate and corporate finance matters.

He advises both international and local mineral resource companies on initial public offerings of the Hong Kong Stock Exchange (“HKEx”). 

Representative Transactions
  • Sponsors to Zijin Mining Group Co., Ltd. ("Zijin") on its listing on the HKEx (HK $1.1 billion). Zijin at one time operated the largest open pit gold mine by production output in China and is one of the largest gold mining and refinery enterprises in China.
  • Sino Gold Mining Limited ("Sino Gold") on its secondary listing on the HKEx (US $120 million).
                 Sino Gold was: 
          • the first resource company ever to be listed under Chapter 18 of the Listing Rules of the HKEx;
          • the first Australian mining company to list on the HKEx; 
          • the first Australian company recognised by the HKEx as being from an acceptable jurisdiction under Chapter 19 of the Listing Rules;
          • the first Australian company to be secondarily listed on the HKEx; and
          • the third company to be secondarily listed on the HKEx.
    Other transactions for Sino Gold:
        • Acquisition of dual listed TSX and ASX company (CAN$100 Million);
        • Private placement (AUS$150 Million);
        • Renounceable entitlement offer of share structured in parts – institutional offer, institutional bookbuild retail offer and retail bookbuild (AUS$210 Million); and
        • Merger with Eldorado Gold Corporation (US$5.9 Billion).
  • SouthGobi Energy Resources Ltd (“SouthGobi”) on its secondary listing on the HKEx (CAN$460 million). 
                  SouthGobi is:
          • one of the few subsequent resource companies to list under Chapter 18 of the Listing Rules of the HKEx;
          • the first Canadian mining company to list on the HKEx;
          • the fourth company to be secondarily listed on the HKEx; and
          • the first offering on the HKEx to be conducted concurrently with a Canadian offering
    Other transaction for SouthGobi: 
        • Cornerstone investments by CIC and Temasek (US$100 Million).

Professional Activities

  • Deputy Chairman, Director and Member of the Investor Compensation Company Limited (“ICC”): appointed in April 2003 to February, 2009. The Investor Compensation Fund (“Fund”) was established by statute to provide compensation to clients of intermediaries (brokers etc) who suffer loss as a result of the default of the intermediaries. The ICC was established, as envisaged by statute, to administer and manage the Fund. Claims management was delegated to a professional third party. Appointed as the deputy chairman and as a director of the ICC. Appointed to the Claims Committee, Management Committee, Public Relations and Investor Education Committee and Audit Committee of the ICC.
  • Member of the Committee on Real Estate Investment Trusts of the Securities & Futures Commission ("SFC"): appointed in September 2003 to March 2009. The Committee advises the Hong Kong Government on general policy or regulatory issues that related to the implementation of the Hong Kong Code on REITs, the overall market development of REITs, and professional guidelines for intermediaries that may be involved in the operation of REITs.
  • Member of the Share Registrar’s Disciplinary Committee of the SFC: appointed in March 2007 to present. The Committee oversees all Hong Kong share registrars for listed companies. The Committee was established to uphold the standards set by the Hong Kong Government in consultation with the Federation of Share Registrars.
  •  Member of the Products Advisory Committee of the SFC: appointed in August 2010 to present. The SFC Handbook for Unit Trusts and Mutual Funds, lnvestment- Linked Assurance Schemes and Unlisted Structured lnvestment Products, the SFC Code on MPF Products and the Code on Pooled Retirement Funds envisage the establishment of the Committee. The Committee was established under section 8 of the Securities and Futures Ordinance. lt is the remit of the Committee to advise the SFC (in particular its Policy, China and lnvestment Products Division) upon request on a variety of issues.
