Allergan Collaborates with Clinique on New Skin Care Line
Dorsey represented California multi-specialty health care company Allergan, Inc., in the formation of a strategic collaboration with Estée Lauder-owned Clinique Laboratories to develop a new skin care line. The new line, which will incorporate the Clinique brand name, will be sold exclusively in physician offices in the United States and is expected to launch in the fall of 2008.

Dorsey Win for UK Client is Significant Bankruptcy Law Decision
Dorsey clients Monitor Single Lift I, Ltd., Monitor Oil PLC and Monitor US FinCo, Inc. ("Monitor") prevailed in restructuring proceedings in the United States Bankruptcy Court for the Southern District of New York. The Court denied a bondholder group motion asking to abstain from hearing the Monitor Chapter 11 case in favor of an administration proceeding in the Cayman Islands or the United Kingdom.

Swedish Medical Center Prevails in Effort to Build New Hospital
Swedish Medical Center, a Washington-based provider of medical services, received Washington Department of Health approval of its application to construct a 175-bed hospital in Issaquah, Washington. The approval came more than two years after the Department initially rejected the project on the basis that the region already had enough hospital beds to serve the health-care needs of its residents.

Local Telephone Company Completes First-Ever Follow-On Offering of Income Deposit Securities (IDS) in the United States
On July 5, 2007, Otelco Inc., a wireline telephone service company headquartered in Oneonta, Alabama, completed the first ever follow on offering of Income Deposit Securities (IDS) in the United States. An IDS is a hybrid security consisting of a high yield note and a share of common stock. Otelco’s IDSs are listed on the American Stock Exchange under the symbol OTT. Otelco issued three million IDSs at a price of $19.80 per unit, resulting in net proceeds to the Company of approximately $56 million. The proceeds were used to reduce indebtedness under Otelco’s credit facility.

Maryland-based Decontamination Manufacturer Secures Complete Dismissal of $17 Million Lawsuit
TVI Corporation, a Maryland-based manufacturer and supplier of safety, infection control and surge capacity equipment secured in May 2007 the complete dismissal of a $17 million lawsuit by a Washington-based competitor. The suit had variously alleged breach of contract, misappropriation of trade secrets, intentional interference with contracts, conversion, unjust enrichment and Consumer Protection Act violations.

Sino Gold Mining Ltd. Secures US$120 Global Stock Offering and Hong Kong Exchange Listing
Sino Gold Mining Limited, a company headquartered in Sydney, Australia which explores and operates gold mines in the PRC, became the first overseas company to receive a listing on the Hong Kong Exchange (HKSE) under a late-2006 policy implemented by the Hong Kong government to diversify the HKSE. The global offering of Sino Gold shares raised approximately US$120 million. Morgan Stanley was the sponsor of the listing.

Rulings in the ACT Class IV and FII Group Litigation
The European Court of Justice ruled on December 12, 2006, that United Kingdom taxation of dividend income under the advance corporation tax rules (“ACT”) offended European Community law by giving to company groups more favourable tax treatment on the distribution of profits earned in the UK than to profits earned offshore. According to the U.K. Treasury, this success for the taxpayer will result in approximately USD $780 million in tax refunds for Dorsey clients.
