The major stock market indices have improved significantly from their depressed levels of nine months ago, the rising unemployment rate appears to be in the initial stages of leveling off andt he term “green shoots” is seeing something of a revival in the media.

Although cautious optimism for a sustainedec onomic recovery is beginning to take holdin some circles, the markets remain well below their historic highs of two years ago. For companies with stock prices that remain depressed or have not fully recovered, and with competitors that either are cash-rich or have weatheredthe downturn with high-value stock, the combination of low valuations andc autious optimism is creating a vulnerable situation fraught with hostile takeover risks.
