Dorsey attorneys have extensive experience in project development and finance, including projects financed through the issuance of credit facilities issued by commercial and institutional lenders and funds, tax-exempt and taxable bonds, private placements, and other arrangements with government agencies (e.g., OPIC and EXIMbank) and multilateral organizations. Attorneys in the Project Development and Finance group have worked on a variety of transactions in such industries as renewable power, renewable fuels, other electric power, oil and gas, telecommunications, mining, water production, and in the manufacturing and transportation sectors and industrial, commercial and infrastructure facilities throughout the U.S., Latin America and Asia. Projects include ethanol and biodiesel production facilities, waste-to-energy projects, wind power projects, gas and coal fired electric power plants, oil refineries and pipelines, and water desalinization and wastewater treatment projects. The group represents project participants and other entities in multiple project roles, including joint venture companies, project companies, sponsors, borrowers, guarantors, equity investors, underwriters, lenders, advisors, contractors, suppliers and offtake purchasers.

The Project Development and Finance group actively participates in structuring project investments and funding, and in the development of the project itself. This includes organizing and structuring ownership and funding vehicles, negotiating and drafting joint venture and project participant arrangements, obtaining all environmental and regulatory permits and approvals, negotiating and drafting construction contracts, supply contracts, transportation contracts, offtake contracts and other project contracts, and structuring, negotiating and drafting senior, subordinated, equity and other financing agreements, including offering materials for capital markets transactions.
