Mr. Nelson is a Partner in the Dorsey Finance and Restructuring group. Mr. Nelson concentrates his practice in the area of commercial financing and energy transactions representing agents, lenders, developers, private equity groups and borrowers in all aspects of leveraged financings, project financings, syndicated loan transactions, mezzanine financings, agricultural lending, structured financings, oil and gas transactions, and other related loan and project transactions, including conventional and renewable energy projects. He also advises financial institutions in workouts and refinancings of project finance loans, leveraged loans and secured credit facilities.

Leverage Lending Transactions
  • Represented a major national bank in connection with a $51,000,000 syndicated senior secured credit facility to finance the acquisition by a private equity group of an oil field services company.
  • Represented a major national bank in connection with a $40,000,000 syndicated senior secured credit facility to finance the acquisition by a private equity group of a manufacturer of plastic packaging materials.
  • Represented a major national bank in connection with a $42,000,000 syndicated senior secured credit facility to finance the acquisition by a private equity group of a manufacturer of cable television equipment and components.
  • Counsel to private equity group/borrower in connection with a $9,000,000 senior secured credit facility to refinance existing indebtedness of a movie theatre holding company.
  • Represented a major national bank in connection with an $18,000,000 syndicated senior credit facility to finance the acquisition by a private equity group of a wholesale distributor of industrial electrical supply equipment.
  • Counsel to private equity group/borrower in all aspects of a $74 million senior secured credit facility for the acquisition of a window manufacturer and related working capital purposes.

Project Financings
  • Counsel to a major integrated oil and gas company as a lender, customer and project participant in all aspects of an approximately $680 million construction loan and term finance credit facility for the development of a liquefied natural gas regasification facility in Texas and the intercreditor arrangements related to an additional $350 million of second lien debt from the private placement of notes issued by the project company.
  • Counsel to agent bank in all aspects of a $140 million project financing for a special purpose entity in connection with the acquisition of wind turbines and the development and construction of a 65 MW wind farm in Pennsylvania.
  • Counsel to agent bank in connection with a $125 million term loan and project financing with a joint venture of four oil and gas companies for the construction of new pipelines and the expansion of existing pipelines and gas gathering facilities in Wyoming.

Mezzanine Loan Transactions
  • Counsel to acquisition company and borrower in all aspects of a secured $32 million first lien term loan and $15 million subordinated securities purchase agreement, related intercreditor agreements and mezzanine equity documents for the acquisition of a manufacturing company and related working capital purposes.
  • Counsel to agent bank in connection with a secured $36 million mezzanine term loan and equity investment for the acquisition of coal assets in Tennessee and Kentucky.
  • Counsel to acquisition company and borrower in all aspects of a secured $5 million first lien term loan, $15 million secured second lien securities purchase agreement, related intercreditor agreements and equity investment in connection with the buyout and recapitalization of an independent oil field services company.
  • Counsel to borrower in all aspects of a secured $125 million multi-tranche mezzanine term loan for the monetization of intellectual property and related services contracts with oil and gas companies.
  • Counsel to agent bank in all aspects of a secured $18 million mezzanine term loan and equity investment for the acquisition of oil and gas assets in Texas and Louisiana.

Commercial Lending Transactions
  • Counsel to borrower in connection with a $250 million secured working capital revolver for a publicly traded data storage manufacturer secured by U.S. and European assets.
  • Counsel to agent bank in connection with a $100 million senior secured working capital revolver for a privately held company with interests in approximately 20 coal and natural gas fired electric generation facilities and a $100 million term loan for the acquisition of electric utility transmission lines and related assets and the structuring and restructuring of intercreditor arrangements with the holders of income participating securities issued on the Toronto Stock Exchange.
    • Counsel to borrower in connection with a $50 million secured working capital revolver and $30 million term loan for an agricultural cooperative.
    • Counsel to borrower in connection with of a $1.75 billion secured revolving credit facility for the acquisition of a major refinery in Southern California and numerous retail gas stations and a separate $225 million secured letter of credit facility for the purchase of crude oil from foreign countries.
    • Counsel to agent bank in connection with a $1.3 billion secured working capital revolver and term loan for the acquisition and operation of oil and gas properties located in Texas and Louisiana and in the coastal waters off the coasts of Texas and Louisiana.
    • Counsel to first lien agent bank in connection with a $300 million first lien secured working capital revolver and term loan for the acquisition and operation of oil and gas properties located in Texas and Louisiana and in the coastal waters off the coasts of Texas and Louisiana and the subsequent restructuring of the first lien loan in connection the issuance of $300 million in subordinated notes.
    • Counsel to agent bank in connection with a $125 million working capital revolver for a publicly traded oil and gas services company organized in the Netherlands.

    Workouts and Refinancings
    • Counsel to lender in connection with all aspects of the restructuring and refinancing of a portfolio of secured term and revolving credit facilities to large dairy borrowers.
    • Counsel to agent bank in connection with the restructuring and refinancing of a project finance construction facility for the construction, development and operation of a natural gas fired co-generation power plant in Texas and subsequent sale of the debt interests and transfer of the agency role.
    • Counsel to lender in connection with all aspects of the restructuring and refinancing of a portfolio of six project finance construction facilities, term credit facilities and synthetic leases, each for the development and operation of natural gas fired power plants and the subsequent sale of the debt interests.

    Oil & Gas Transactions
    • Counsel to publicly traded exploration and production company in connection with a $200 secured first lien working capital revolver and $40 million secured second lien term loan and the related acquisition of oil and gas properties in North Dakota and Montana.
    • Counsel to purchaser in the structure and purchase of a $50 million volumetric production payment interest in oil and gas properties in Texas and Oklahoma and the related financing of the acquisition.
    • Counsel to private investment division of a major insurance company in all aspects of structuring the acquisition of working interests in various oil and gas properties in Texas and Oklahoma.
    • Counsel to purchaser in the structure and purchase of a $600 million volumetric production payment interest in oil and gas properties in Texas and Kansas and the related financing of the acquisition.
    • Counsel to purchaser in the structure and purchase of partnership interest in a special purpose entity created to hold a volumetric production payment interest in oil and gas properties located in Texas and the related financing of the acquisition.
