Katherine is an associate in the firm’s Corporate group. She has experience representing U.S., Canadian, and multinational companies in a wide variety of corporate, financial and commercial transactions, including public offerings, U.S. private placements, ongoing compliance with federal (SEC) and state securities regulations, including ongoing reporting obligations (Forms 10-K, 10-Q, 8-K, 20-F and 6-K) as well as beneficial ownership reporting (Forms 13D/13G, and Section 16 reporting), NYSE and HKSE listing requirements (including director independence and corporate governance requirements), and compliance with the Sarbanes-Oxley Act of 2002, as well as stock and asset sales (M&A), and general corporate matters. Her experience spans a number of industries including geothermal drilling, mineral mining, oil & gas, construction, pharmaceutical, and biotechnology.
