Jenna Hannigan is an associate in the Corporate Group.  Jenna's practice concentrates primarily on corporate finance and capital markets transactions, including IPOs, secondary public offerings and registered offerings of debt securities.  Jenna also advises public company clients on corporate governance and securities law compliance. Additionally, Jenna works with companies of all sizes on a range of matters including private financings, mergers and acquisitions, contract drafting and negotiating and other business law topics.

  • Restore Medical – initial public offering, 1934 Act compliance, sale of the company to Medtronic
  • EnteroMedics – initial public offering, 1934 Act compliance, $15.89 million private placement of common stock, $4.9 million “registered direct” offering
  • Otter Tail Corporation – secondary offering of common shares, $100 million debt offering, holding company reorganization
  • SUPERVALU – $1 billion debt offering, $500 million debt offering, tender offer for any and all of the outstanding Hybrid Income Term Security Units of New Albertsons
