Mr. Doerksen is a Partner in Dorsey’s Corporate Department.  Mr. Doerksen’s practice focuses on private and public financings, mergers and acquisitions, U.S. stock exchange listings, public company disclosure and compliance issues, state securities laws and general corporate matters. A significant portion of Mr. Doerksen’s practice is devoted to advising Canadian and other foreign clients on U.S. cross-border transactions.

Representative Transactions

  • Mining & Energy
    • Represented one of the world’s largest uranium companies in acquisitions, dispositions and financings aggregating more than $7 billion.
    • Represented a gold company in financings aggregating nearly $500 million, an acquisition, an NYSE listing, SEC reporting and a $3.1 billion sale of the company.
    • Represented another gold company in an Amex listing, SEC reporting and financings aggregating nearly $300 million.
    • Represented Canada’s largest mining company in the sale of an Alaska gold mine.
    • Represented a Japanese company in the acquisition of two Nevada gold mines and several debt financings.
    • Represented a natural gas distributor in financings aggregating more than $250 million.
    • Represented an alternative energy company in a $70 million financing.
  • Biotechnology
    • Represented a biopharmaceutical company in the establishment of a Canada-U.S. exchangeable share structure, VC financings in excess of $100 million, and a sale of the company.
    • Represented a biopharmaceutical company in several VC financings, the takeover of a Nasdaq-listed company, SEC reporting and a $50 million shelf takedown.
    • Represented a medical device company in SEC reporting and nearly $50 million in financings.

    • Represented the controlling stakeholder of one of the world’s largest commercial real estate brokerage firms in the reorganization of the firm’s international governing structure and the relicensing of its operations throughout the U.S.
    • Represented one of North America’s largest real estate investment advisors in a corporate reorganization.

    • Represented a mobile scheduling company in SEC reporting and its acquisitions and dispositions.
    • Represented a seismic data company in several acquisitions, dispositions and financings.
