Ms. Werner assists clients in navigating the evolving regulatory landscape affecting new technologies and creating strategies for compliance and success. She has a wide range of experience in the representation of regulated communications companies, including multi-jurisdictional transactions involving regulated assets; representation of clients in various state and federal regulatory proceedings including certification, transaction and rulemaking proceedings; and representation of clients in government investigation and enforcement proceedings. Ms. Werner is also experienced in privacy and information security law and works with clients to develop internal privacy policies that establish compliance with state and federal laws and ensure the protection of sensitive data.

Representative Work

Transaction and Commercial
  • Served as regulatory counsel for a telecommunications company in performance of the due diligence, negotiation, financing and close of a $101million stock purchase acquisition of a company with regulated entities in multiple jurisdictions.
  • Secured the state and local regulatory approvals for the acquisition by a foreign corporation of a domestic fiber and data communications provider operating in over 20 jurisdictions.
  • Drafted and negotiated various commercial agreements including collocation agreements, service agreements, and spectrum purchase and lease agreements.
Regulatory
  • Obtained the necessary approvals from state, local and federal authorities to construct towers and secured FCC approval for wireless licenses and USF funding that allowed a telecommunications company to provide commercial wireless telecommunications services to a previously unserved rural area.
  • Protected a company that operates in numerous states from exposure to liability from insufficient data security by revising its method of collecting customer data for business uses, such as for use in an automatic payment program; drafting proper warnings to be given to customers; updating its published website privacy policies; and reviewing and updating the company’s contracts with third party vendors to ensure that they provide for the proper treatment of customer data.
  • Successfully represented clients that have received Letters of Inquiry, Formal Complaints, and Informal Complaints before the FCC and in formal proceedings before the Minnesota Public Utilities Commission.
